AlignConverse is specifically tailored to handle the complexities and nuances of healthcare workflows. By automating these steps and ensuring timely communication and task assignments, AlignConverse helps practices improve efficiency, reduce errors, and enhance patient outcomes.  3. User Account

 

User Registration:

- To create an account, users must provide accurate and complete information, including their email address, full name, and physical address. Users are responsible for maintaining the accuracy of this information and must promptly update their account details if there are any changes. Failure to provide accurate information may result in the suspension or termination of the user's account.

- Users must be over 18 years old and must be B2B customers. This service is not intended for individual consumers or persons under the age of 18.

 

User Responsibilities:

- Users are responsible for maintaining the confidentiality of their account information, including their password, and for all activities that occur under their account. Users must notify Visure Digital Ltd. immediately of any unauthorized use of their account or any other breach of security. Visure Digital Ltd. will not be liable for any loss or damage arising from the user's failure to comply with these responsibilities.

- Users must use the software in compliance with all applicable laws, regulations, and industry standards. This includes obtaining any necessary consents or authorizations for the use of patient data and ensuring that their use of the software does not violate any laws or infringe on the rights of others.

- Users must not use the software in a way that could harm the software's functionality, other users, or Visure Digital Ltd. This includes, but is not limited to, activities such as introducing viruses, overloading the system, or engaging in activities that could disrupt or impair the software's operation.

 

Prohibited Behaviors:

- Users must not engage in illegal activities, fraud, or any behavior that violates laws and regulations. This includes, but is not limited to, activities such as hacking, phishing, or distributing malware.

- Users must not upload or distribute any viruses, worms, or any software intended to damage or alter a computer system or data. This includes using the software to transmit any harmful or disruptive content.

- Users must not attempt to gain unauthorized access to the software or its related systems or networks. This includes attempting to bypass security measures or exploit vulnerabilities in the software.

- Users must not use the software to harass, abuse, or harm another person or entity. This includes using the software to send unsolicited messages, spam, or engage in any form of harassment.

- Users must not impersonate any person or entity or falsely state or otherwise misrepresent their affiliation with a person or entity. This includes creating fake accounts or providing false information during registration.

 

 4. Payment and Fees

Billing and Payment:

- Users agree to pay all applicable fees associated with their subscription to the software. Fees are billed in advance on a monthly or annual basis, depending on the chosen subscription plan. Users authorize Visure Digital Ltd. to charge their chosen payment method for the subscription fees. If a payment method is declined or otherwise fails, Visure Digital Ltd. may suspend or terminate the user's access to the software.

- In the event of non-payment, Visure Digital Ltd. reserves the right to suspend or terminate the user's access to the software. Users are responsible for ensuring that their payment information is up to date and that there are sufficient funds available to cover the subscription fees.

 

Refund Policy: No refunds are offered. Users are encouraged to review the terms of their subscription and ensure that the software meets their needs before committing to a subscription.

 

 5. Service Usage

 

License Grant: Users receive a non-exclusive, non-transferable license to use AlignConverse. This license is granted for the duration of the user's subscription and is subject to compliance with these terms and conditions.

 

Acceptable Use:

- Users must not misuse the software in any manner that could harm the software's functionality or other users. This includes, but is not limited to, activities such as reverse engineering, decompiling, or disassembling the software.

- Prohibited activities include, but are not limited to, illegal activities, fraud, and any actions that violate these terms and conditions. Users must not use the software for any purpose that is illegal or prohibited by these terms and conditions.

- Users must not reverse engineer, decompile, or disassemble the software. This includes attempting to discover the source code or underlying algorithms of the software.

- Users must not use the software for any purpose that is illegal or prohibited by these terms and conditions. This includes using the software to transmit any harmful or disruptive content, such as viruses, worms, or malware.

 

Modifications to the Service:

- Visure Digital Ltd. reserves the right to modify, suspend, or discontinue the software at any time with or without notice to users. This includes making changes to the features, functionality, or availability of the software.

- Visure Digital Ltd. is not liable to users or any third party for any modification, suspension, or discontinuation of the software. Visure Digital Ltd. ensures that third-party service providers are bound by appropriate confidentiality and data protection obligations. Users are encouraged to review the privacy policies of these third-party services to understand how their data is handled.

 

 7. Termination

 

Termination Policy:

- User accounts can be terminated anytime, effective at the end of the paid month or year (for annual billing). Users may terminate their subscription by contacting Visure Digital Ltd. and requesting account termination.

- Visure Digital Ltd. reserves the right to terminate or suspend a user's account immediately, without prior notice or liability, for any reason, including if the user breaches these terms and conditions. This includes, but is not limited to, activities such as non-payment, violating the acceptable use policy, or engaging in illegal activities.

 

Effects of Termination:

- Upon termination, the user's right to use the software will immediately cease. All provisions of these terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

- Visure Digital Ltd. is not liable for any loss or damage resulting from the termination of a user's account. Users are responsible for ensuring that they have backed up any important data before terminating their account.

 

 8. Limitation of Liability

 

Liability:

- To the maximum extent permitted by applicable law, in no event shall Visure Digital Ltd., its affiliates, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) users' access to or use of or inability to access or use the software; (ii) any conduct or content of any third party on the software; (iii) any content obtained from the software; and (iv) unauthorized access, use, or alteration of users' transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Visure Digital Ltd. has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

- Visure Digital Ltd.'s total liability for all claims related to the software shall not exceed the amount paid by the user to Visure Digital Ltd. for the software in the twelve (12) months preceding the claim. This limitation of liability applies to all claims of liability, whether in contract, warranty, tort, or any other legal theory, and whether or not Visure Digital Ltd. has been informed of the possibility of such damage.

 

Indemnification:

- Users agree to indemnify, defend, and hold harmless Visure Digital Ltd., its affiliates, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees), arising from or related to (i) users' use or misuse of the software; (ii) users' violation of these terms and conditions; (iii) users' violation of any rights of a third party; and (iv) any content users submit to or through the software.

 

 9. Dispute Resolution

 

Governing Law:

- These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom. Users agree that any legal action or proceeding relating to these terms and conditions or the use of the software will be brought exclusively in the courts of the United Kingdom, located in London.

 

Dispute Resolution:

- Any disputes arising out of or relating to these terms and conditions or the use of the software will be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration. The arbitration will take place in London, United Kingdom, and will be conducted in English. Each party will bear its own costs and expenses of arbitration, and the arbitrator's fees and expenses will be divided equally between the parties.

- Users agree to resolve disputes with Visure Digital Ltd. on an individual basis, and users waive any right to participate in a class action or representative lawsuit. This class action waiver is an essential part of the agreement between the user and Visure Digital Ltd. and is non-severable.

 

Injunctive Relief:

- Notwithstanding the foregoing, Visure Digital Ltd. reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or enjoin misuse of the software or infringement of Visure Digital Ltd.'s intellectual property rights.

 

 10. Miscellaneous

 

Modifications:

- Visure Digital Ltd. reserves the right to modify these terms and conditions at any time. Users will be notified of any changes via email. Continued use of the software after the effective date of any modifications to these terms and conditions constitutes acceptance of those modifications. Users are encouraged to review these terms and conditions periodically to stay informed about any changes.

 

Entire Agreement:

- These terms and conditions constitute the entire agreement between users and Visure Digital Ltd. regarding the use of the software and supersede any prior agreements between users and Visure Digital Ltd. Any additional or different terms or conditions proposed by users are expressly rejected by Visure Digital Ltd. and are not applicable or binding unless agreed to in writing by Visure Digital Ltd.

 

Severability:

- If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable, and the rights and obligations of the parties will be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements set forth in these terms and conditions.

 

Waiver:

- The failure of Visure Digital Ltd. to enforce any right or provision of these terms and conditions will not be deemed a waiver of such right or provision. Notices will be deemed to have been duly given (i) when received, if personally delivered; (ii) when receipt is electronically confirmed, if transmitted by facsimile or email; (iii) the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and (iv) upon receipt, if sent by certified or registered mail, return receipt requested.

 

Force Majeure:

- Visure Digital Ltd. will not be liable for any failure to perform its obligations under these terms and conditions due to events beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials. In the event of such a force majeure event, Visure Digital Ltd.'s obligations under these terms and conditions will be suspended for the duration of the event, and Visure Digital Ltd. will use reasonable efforts to mitigate the effects of the force majeure event.

 

Feedback:

- Users may provide feedback, suggestions, and ideas about the software to Visure Digital Ltd. Users agree that all feedback, suggestions, and ideas provided by users are non-confidential and become the sole property of Visure Digital Ltd. Users assign all rights in and to feedback, suggestions, and ideas to Visure Digital Ltd. and agree to execute any necessary documents and take any necessary actions to effectuate such assignment. Visure Digital Ltd. is free to use, disclose, reproduce, license, distribute, and exploit any feedback, suggestions, and ideas without any obligation or payment to users.

All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.

 

Software Updates:

- Visure Digital Ltd. may from time to time provide enhancements or improvements to the features/functionality of the Software, which may include patches, bug fixes, updates, upgrades, and other modifications ("Updates"). Updates may modify or delete certain features and/or functionalities of the Software. Users agree that Visure Digital Ltd. has no obligation to (i) provide any Updates, or (ii) continue to provide or enable any particular features and/or functionalities of the Software to users. Users further agree that all Updates will be (i) deemed to constitute an integral part of the Software, and (ii) subject to these terms and conditions.
